1. Introduction

Nothing herein creates a partnership, joint venture, or agency relationship unless expressly agreed in writing.

3. Scope of Services

Complysis provides management, regulatory, governance, compliance, and operational advisory
services.

Unless expressly agreed in writing:

  • Complysis does not provide legal, tax, investment, or financial advice
  • All services are subject to a written engagement agreement

4. Payment Processing & PCI Compliance

Where services involve payment processing, payment gateway integrations, or payment-related advisory:

  • Complysis does not store, process, transmit, or retain cardholder data
  • Complysis does not act as a payment processor, acquirer, issuer, or merchant of record
  • All payment transactions are handled by PCI-DSS compliant third-party service providers
  • Clients remain responsible for their own PCI-DSS compliance obligations where applicable

5. No Regulatory Approval

Engagement of Complysis does not constitute regulatory approval, licensing, or endorsement by any authority.

Clients remain solely responsible for regulatory outcomes.

7. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Disclose all material facts
  • Comply with applicable laws and regulations

  • Hosting providers or client-controlled systems
  • Provided Complysis has complied with its contractual and security obligations.

10. Indemnity

Clients agree to indemnify and hold harmless Complysis against claims arising from:

  • Breach of these Terms
  • Regulatory non-compliance
  • Client-provided data or instructions

11. Intellectual Property

All Website content and methodologies remain the intellectual property of Complysis unless otherwise stated.

12. Confidentiality

All non-public information exchanged shall be treated as confidential, subject to lawful disclosure requirements.

13. Termination

14. Governing Law & Jurisdiction
